This Portal is made available by Canada Health Infoway (“Infoway”) for use by Canadian healthcare professionals, and representatives of organizations that engage and/or support healthcare professions, who provide primary care to Canadian patients.  This Portal is not intended for other users.

By using this AI Scribe Program’s website portal (“Portal”), you acknowledge and agree that:

Information and Your Decisions

1. The Portal provides information about Infoway’s AI Scribe Program, including information about AI scribe solutions provided by various vendors who were qualified in a recent Infoway procurement process, and the contact information for those vendors (collectively, “Information”).
2. The Information is provided for general information purposes only.

• The Information should not be relied upon as specific legal, business, medical, technical, or other advice.  The Information is not a substitute for your own due diligence, or business or professional judgment.
• The Information may not reflect or comply with the laws, regulations and health professional obligations in your province or territory.
• Infoway attempts to provide Information that is accurate and up to date.  However, Infoway cannot guarantee the accuracy or completeness of the Information.  Infoway assumes no responsibility for errors or omissions in the Information.
• You agree that you will independently evaluate the Information (including its accuracy and applicability) before relying on it.

3. You bear all risks associated with your use of this Portal – including any decisions you make to select an AI scribe solution to account for your particular circumstances, and your use of that solution. Infoway is not responsible for any decisions you make in reliance on the Information.
4. You are responsible for determining if the laws or policies applicable to your organization permit you to contract directly with any vendor identified on the Portal.  For example, government agencies and publicly funded entities may have procurement law obligations which may require them to invite some or all of the vendors to participate in a second-stage competition to determine which vendor they will contract with. Infoway will have no role in that decision-making or in any second-stage competition.
5. The inclusion of any linked website does not imply approval, endorsement or recommendation of the material on such websites or any association with their operators by Infoway.

Additional Program Details

6. If you wish to participate in the AI Scribe Program and its funding supports, you will need to select an AI scribe solution vendor and (no later than December 31, 2025) enter into an appropriate agreement with the selected vendor to use and access the applicable solution.
7. Infoway is not a party to, and not responsible or liable under, any such agreement entered into between you and your selected vendor.
8. You acknowledge that the funding supports provided under the AI Scribe Program (a) are limited to specific primary care providers and baseline solution functionality; and (b) only apply for twelve (12) months from the effective date of the agreement executed with the selected vendor to use and access the applicable solution as set out in Section 6.  Any use of more advanced functionality, or use beyond the time period set out in (b) above, will be at your cost.
9. THIS PORTAL IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
10. Infoway disclaims any and all warranties and conditions of any kind, whether express or implied including, without limitation, the implied warranties and conditions of merchantable quality and fitness for a particular purpose and those arising by statute or otherwise in law or from a course of dealing or usage of trade.  Without limitation, Infoway makes no warranty, and there is no condition, that (i) this Portal, including, without limitation, the Information, will be useful or meet your requirements or expectations, (ii) this Portal will be available, uninterrupted, timely, secure, error-free or free of computer viruses or other harmful components, (iii) the Information will be complete, accurate or reliable, or (iv) your communications, including any complaints, will be received, reviewed, referred, acted upon, or resolved to your satisfaction.
11. IN NO EVENT SHALL INFOWAY BE LIABLE FOR ANY DAMAGES WHATSOEVER, INCLUDING DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES (EVEN IF INFOWAY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), WHETHER BASED ON BREACH OF CONTRACT (INCLUDING FUNDAMENTAL BREACH OR BREACH OF A FUNDAMENTAL TERM), TORT (INCLUDING NEGLIGENCE), MISREPRESENTATION (WHETHER NEGLIGENT OR OTHERWISE), BREACH OF WARRANTY OR OTHERWISE, ARISING OUT OF OR IN CONNECTION WITH ANY MATTER RELATING TO THE INFORMATION, OR THIS PORTAL.
12. Infoway reserves the right to make additions, deletions, or modifications to the Information on the Portal at any time without prior notice.
13. This disclaimer and any matter applicable to your direct or indirect use of this Portal or Information herein, shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable in the Province of Ontario without giving effect to any conflict of laws or provisions which may refer the matter to the laws of another jurisdiction.  Any dispute shall be settled in the courts of the Province of Ontario.
